1.    On the list attached are items raised at Council Meetings that staff have followed up on. All items indicate who is responsible for follow up, and a brief status comment. Once the items have been report to Council they will be removed from the list.

Subject: Call for Items of Business Not on the Agenda

 

Reason for Report

1.      Standing order 9.12 states:

A meeting may deal with an item of business that is not on the agenda where the meeting resolves to deal with that item and the Chairperson provides the following information during the public part of the meeting:

(a)   the reason the item is not on the agenda; and

(b)   the reason why the discussion of the item cannot be delayed until a subsequent meeting.

Items not on the agenda may be brought before the meeting through a report from either the Chief Executive or the Chairperson.

Please note that nothing in this standing order removes the requirement to meet the provisions of Part 6, LGA 2002 with regard to consultation and decision making.

2.      In addition, standing order 9.13 allows “A meeting may discuss an item that is not on the agenda only if it is a minor matter relating to the general business of the meeting and the Chairperson explains at the beginning of the public part of the meeting that the item will be discussed. However, the meeting may not make a resolution, decision or recommendation about the item, except to refer it to a subsequent meeting for further discussion.

SUBJECT: Adoption of the Audited 2016-17 Annual Report

 

Reason for Report

1.      To enable Council to adopt the 2016-17 audited Annual Report, and to authorise the signing of the report.

Background

2.      The draft Annual Report was considered by Council on Wednesday 30 August 2017 and adopted for audit.  An additional draft Annual Report that incorporated Audit changes was presented to the Finance, Audit and Risk subcommittee on Tuesday 19 September 2017 as an opportunity for questions and recommendations.

3.      It is now necessary for Council to consider the audited 2016-17 Annual Report for formal adoption and publication.  The statutory deadline for the adoption on the Annual Report is four months after balance date being 30 October 2017.

4.      Subsequent to Council approval and in line with Section 98 of the Local Government Act, the 2016-17 Annual Report will be printed for distribution within one month of adoption and will also be published on Council’s website.

5.      Section 98 of the Act also requires a summary document of the information contained in the 2016-17 Annual Report to be made publically available within one month of adoption.  The summary is also audited to ensure that it represents fairly and consistently the information regarding the major matters in the full Annual Report. 

6.      The summary Annual Report has historically been published in the regional newspaper and also published on Council’s website.  Due to the later timing of the Annual Report sign off staff would like some guidance on whether the summary should again be published in the newspaper or provided only on the Council’s website.

7.      The final Annual Report is provided under a separate cover as part of the Agenda and provided in hard copy to Councillors only. The final audit report has yet to be received from Audit NZ but will be tabled at the Council meeting along with the Chairman and Chief Executive’s Introduction which has yet to be completed.

8.      Once the Auditor’s Report and Introduction have been incorporated into the finalised document, and that has been signed, hard copies will be available upon request to anyone wanting one.

Changes to the Annual Report from the Draft Version Council Approved

9.      The following adjustments have been made to the Annual Report that is appended to this paper, from the draft version adopted for Audit at the Council meeting on 30 August 2017.

10.    Issue:  Write off of shareholder advances

10.1.    It was resolved at the Council meeting on 30 August 2017 that the full amount of advances made by HBRC to HBRIC Ltd for the RWSS would be written off.

10.2.    This transaction is shown as an impairment expense of $13,956,000 on the Statement of Comprehensive Revenue and Expense with a reduction of the Advances to Council Controlled Organisations asset on the balance sheet.

11.    Issue: Write off of HBRC RWSS evaluation costs

11.1.    As a result of the write off of the shareholder advances and the Council resolution on 30 August 2017 that HBRC would no longer be providing any additional funding to the project, the historic costs of Council driven evaluations have also had to be written off.

11.2.    This transaction is shown as an impairment expense of $831,000 on the Statement of Comprehensive Revenue and Expense with a reduction of Other Financial Assets on the balance sheet.

12.    Issue: HBRIC Ltd Consolidation

12.1.    At the time of the draft version adopted for Audit HBRC did not have the finalised accounts from HBRIC Ltd and so were unable to provide consolidated group accounts.

12.2.    The final attached Annual Report includes group financial information incorporating HBRIC Ltd and Napier Port.

Hawke’s Bay Regional Investment Company Ltd

13.    The HBRIC Ltd Board approved the audited annual statements for year ending 30 June 2017 at its meeting on 30 September 2017. HBRIC Ltd’s group accounts, including the Napier Port, are incorporated into the final Annual Report group results.

14.    Due to the Supreme Court ruling on the land swap and the Council resolutions from 30 August 2017, HBRIC Ltd have reviewed the holding value of the RWSS intangible asset.  After a complex review including consideration of the fiduciary responsibilities to protect the shareholder value, the HBRIC Ltd directors determined that there continues to be residual value in the scheme and not to fully impair the asset at balance date.  HBRIC Ltd has impaired the holding value of the intangible assets in the scheme by $11.74m, leaving a value of $7.83m.

15.    HBRIC Ltd have been issued a qualified audit opinion due to the carrying value used for the RWSS intangible asset.  Audit New Zealand have been unable to obtain sufficient appropriate audit evidence that the $7.83 million carrying value of the intangible asset is recoverable, or to determine the deferred tax balances that should arise from the impairment of the intangible asset.

16.    This qualified option will flow through to the HBRC Group accounts as this incorporates the same decisions made by the directors of HBRIC Ltd.

Valuation of Hawke’s Bay Regional Investment Company Ltd

17.    A review of the valuation of HBRIC Ltd was undertaken as at 30 June 2017 to determine whether the investment is appropriately valued at fair value.  The value currently on the HBRC balance sheet is $235,224,000.  Deloitte were contracted to review the value based on current market and they value Council’s investment in HBRIC Ltd between $205,800,000 and $259,200,000.

18.    The current valuation sits just above the midpoint of the low and high valuation range.  Given that position the current valuation appears justified and no formal revaluation is required until next year when a full revaluation will be completed. 

Audit of HBRC Annual Report

19.    Discussions have been completed with Audit New Zealand and they have sighted all the proposed adjustments in the notes referred to above.

20.    The formal Audit Report to the Annual Report at the time of writing this paper is in the process of being cleared but it is anticipated that the Audit Report will be available for tabling at this meeting.

Decision Making Process

21.    Council is required to make every decision in accordance with provisions of Part 6, sub‑part 1 of the Local Government Act 2002 (the Act). Staff have assessed requirements of the Act in relation to this item and have concluded that as the Annual Report is a statutory report required to be adopted by Council no later than 30 October 2017 under Section 98 of the Act, the other decision making provisions do not apply.

 


 

Recommendations

1.      That Council adopts the audited 2016-17 Annual Report, under Section 98 of the Local Government Act 2002, and authorises the Chairman and Chief Executive to sign the Annual Report on behalf of Council.

2.      That Council agrees that no revaluation of the investment in HBRIC Ltd is required as the current carrying value of $235,224,000 sits within the current updated valuation range as developed by Deloitte New Zealand.

SUBJECT: Proxy for the HBRIC Ltd Annual General Meeting

 

Reason for Report

1.      The purpose of this report is for Council to appoint a proxy, and alternate, to vote at the sixth Annual General Meeting of Hawke’s Bay Regional Investment Company Limited (HBRIC Ltd).

Summary

2.      HBRIC Ltd is intending to hold its Annual General Meeting on Monday 13 November 2017 at 5.30pm in the Chamber at Hawke’s Bay Regional Council. The Council (as the shareholder) is required to appoint a proxy and alternate to attend this meeting and vote on the Council’s behalf at the meeting.

3.      There are two items that require shareholder voting, being:

3.1.      Adoption of the company’s Financial Statements for the year ended 30 June 2017

3.2.      Appointment of Auditors.

4.      All Councillors are invited to the Annual General Meeting. A copy of the Notice of the Sixth Annual General Meeting of HBRIC Ltd is set out in Attachment 1.

5.      With regards to appointing a proxy to attend this meeting, it is recommended that the proxy be given to the Deputy Chairman of the Council, with the alternate being a Councillor nominated at this meeting. 

Decision Making Process

6.      Decisions covering the Annual General Meeting of HBRIC Ltd are required to be made under the Companies Act 1993.

 

Recommendations

That Council:

1.      Agrees that the decisions to be made are not significant under the criteria contained in Council’s adopted Significance and Engagement Policy, and that Council can exercise its discretion and make decisions on this issue without conferring directly with the community and persons likely to be affected by or to have an interest in the decision.

2.      Notes the date of the Hawke’s Bay Regional Investment Company Limited Annual General Meeting.

3.      Appoints ___________________ as Council’s proxy at the sixth Annual General Meeting of the Hawke’s Bay Regional Investment Company Limited to be held at 5.30pm on Monday 13 November 2017, and to vote as proxy holder on behalf of the Council, and appoints ___________________, to act as alternate.

Reason for Report

1.      Council traditionally adopts a Schedule of Meetings for the following year in October/November each year.

2.      The proposed 2018 schedule of meetings (attached) has been developed taking the following into consideration.

2.1.   One Regional Council meeting scheduled on the last Wednesday of each month

2.2.   One Regional Planning Committee meeting scheduled on Wednesday every six weeks

2.3.   Environment & Services Committee and Maori Committee meetings are scheduled every other month

2.4.   Regional Transport Committee meetings scheduled on a Friday, four times per year.

2.5.   Finance, Audit & Risk Committee and Corporate & Strategic Committee meetings are scheduled quarterly, to align with Audit requirements and financial reporting

2.6.   Timeframes for Long Term Plan and Annual Report development, consultation and Audit

2.7.   Timeframes for Council’s Representation Review process.

Decision Making Process

3.      Council is required to make every decision in accordance with provisions of the Local Government Act 2002 (the Act). Staff have assessed requirements contained in the Act in relation to this item and have concluded that adoption of a schedule of meetings is specifically provided for under Schedule 7, Part 1, Section 21.

Decision Making Process

3.      Council is required to make every decision in accordance with the provisions of Sections 77, 78, 80, 81 and 82 of the Local Government Act 2002 (the Act). Staff have assessed the requirements contained within these sections of the Act in relation to this item and have concluded the following:

SUBJECT: Annual Plan Progress Report for the First Three Months of the 2017-18 Financial Year

 

Reason for Report

1.      To provide Council with financial progress for the first three months of the 2017-18 financial year to 30 September 2017.

Financial Summary to 30 September 2017

2.      The financial results covering the Council’s general funded operations for the first three months of 2017-18 are on budget, will no significant variances to bring to Council’s attention. 

3.      There are however some pressure points on the horizon that may affect the operating budget as the year progresses, as follows.

Ngaruroro Water Conservation Order (WCO)

4.      HBRC has made a submission opposing the WCO for the Ngaruroro and Clive Rivers.  Costs relating to the hearings and staff could be significant as the year progresses.  It is too early to ascertain what those costs will be and the final time frame.

Havelock North Water Contamination Inquiry

5.      The final stages of the Havelock North Water Contamination Inquiry are still in progress and there are some additional costs that relate to that.  While these are expected to be minimal they are unbudgeted and need to be funded.

Operational Reviews

6.      There are number of Executive driven reviews into operational areas of the business that have been commissioned to try and drive efficiencies heading into the LTP.  Some of these require external expertise and independence.  Most of these costs should be able to be covered by existing budgets.

Reforecast

7.      Due to the uncertainty of the some of the areas raised above a reforecast exercise will be completed for the six months to 31 December 2017.  By this time there should be more information regarding potential costs.

8.      Any additional operational costs will try to be absorbed by reducing existing project spending and overhead cost savings before any additional funding is requested.

14.   HBRC submission lodged on 24 Aug.

15.   Preparation is underway of case and expert evidence for presentation at Special Tribunal’s first part of hearing commencing 14 Nov, with HBRC’s evidence to be filed by 27 Oct.  First part of hearing to focus on upper catchment (above Whanawhana).  Tribunal has tentatively scheduled HBRC to present its case on 21 Nov.

28.   Two assessment panels (Napier Port to Tangoio; Clifton to Napier Port) have scored the options to determine recommended pathways within each priority unit.  Funding mechanisms and expected costs are being introduced to Council and Community.

Resource Consents

 

Applications processing/pending

48.   Te Mata Mushrooms Air discharge notified 232 submissions. On hold to lodge consent with HDC – s91

49.   HBRC Gravel extraction Ngaruroro – on hold while  other applications  pending

50.   PanPac coastal discharge notified in July – now proposed to be referred directly to Environment Court. Officer report to be completed 10 November. Then PanPac to decide to proceed to Environmret Court or have a local hearing.

51.   Whakatu Wool Scour – received 30 June. This application has been withdrawn and Whakatu Wool Scour have advised they will be closing this plant.

52.   HBRIC Tranche 2 water takes- on hold pending further information. Have now advised we will proceed with processing unless withdrawn.

53.   Landcorp Ahuriri stormwater discharge – application lodged.  Meeting held with applicant NCC, Mana Ahuriri, DOC and Airport. Landcoprp and NCC to discuss strategy for better stormwater management.

54.   Port of Napier wharf extension and dredging – application  pending

55.   Clifton coastal protection works. Application on hold pending further information.

 

Decision Making Process

2.      Staff have assessed the requirements of the Local Government Act 2002 in relation to this item and have concluded that, as this report is for information only, the decision making provisions do not apply.

 

Recommendation

That Council receives the HBRC Staff Projects and Activities through November 2017 report.
